These Terms of Service (“Agreement”) are entered into by and between Push AI, Inc. (“Company”) and the user (“User”) accessing or using the software, applications, and services provided by Push AI, Inc. (collectively referred to as the “Services”). This Agreement governs the User’s use of the Services. By accessing or using the Services, the User agrees to be bound by the terms and conditions of this Agreement.

Acceptance of Terms

By using the Services, the User represents and warrants that they have read and understood this Agreement and agree to be bound by its terms and conditions. If the User does not agree to this Agreement, they must refrain from accessing or using the Services.

Use of Services

2.1 Eligibility: The User must be of legal age and have the legal capacity to enter into this Agreement. By using the Services, the User represents and warrants that they meet these eligibility requirements. 2.2 License: Subject to the terms of this Agreement, the Company grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for their internal business purposes. The User shall not modify, adapt, reproduce, distribute, reverse engineer, or create derivative works based on the Services. 2.3 User Responsibilities: The User is responsible for maintaining the confidentiality of their account credentials and for all activities conducted through their account. The User shall not engage in any conduct that violates applicable laws, regulations, or the rights of others while using the Services.

Intellectual Property

3.1 Ownership: The Company retains all rights, title, and interest in and to the Services, including all intellectual property rights. The User acknowledges that they do not acquire any ownership rights by using the Services. 3.2 Feedback: The User may provide suggestions, ideas, or feedback to the Company regarding the Services (“Feedback”). The User grants the Company a worldwide, perpetual, irrevocable, royalty-free license to use, modify, reproduce, and incorporate the Feedback into the Services without any obligation to the User.

Privacy and Data Protection

The Company’s collection, use, and protection of personal data are governed by the Company’s Privacy Policy. By using the Services, the User agrees to the Company’s Privacy Policy.

Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to the use or inability to use the Services, even if the Company has been advised of the possibility of such damages. The Company’s liability under this Agreement, regardless of the cause of action, shall be limited to the fees paid by the User for the Services during the twelve (12) months preceding the event giving rise to the liability.

Indemnification

The User agrees to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or relating to the User’s use of the Services or violation of this Agreement.

Termination

The Company may terminate or suspend the User’s access to the Services at any time, with or without cause. The User may terminate their use of the Services by ceasing to use the Services. Upon termination, the User’s rights to use the Services shall immediately cease, and the provisions of this Agreement that by their nature should survive termination shall survive.
